An upgrade will update all the files necessary to make your computer run Mountain Lion. Whether it leaves any dormant Lion-based files behind, I have no idea. But your computer will not be running Lion if you upgrade to Mountain Lion.

If you are afraid of unnecessary files taking up space on your hard drive, preform a clean install and then restore all of your files with Time Machine or whatever backup facility you use.

No, the Lion system is removed and the Mountain Lion system files are placed on the drive in their place. For those who have been around a while, the install procedure is similar to the old Archive and Install option, except that the old files are not saved anywhere on the drive. It does not leave behind any system files from Lion (barring any issues).
