SVG is an XML-based file format. If Illustrator can't open it, open the SVG in a text editor and make sure that the file is complete and looks to be formatted correctly. You can validate SVG files using several tools. Many useful links are here: http://stackoverflow.com/questions/12464533/how-can-i-verify-a-svg-doc-is-correct-version-1-2

In the save dialog, there should be a checkbox to keep illustrator editing functions. Is that active?
