My mom enabled two-step verification for her new iPad and iPhone, now we can't log out of her iPhone so we can't transfer her backup to her new iPhone 6s. It's sending the codes to an old phone number, and she lost her Recovery Key. Is there a way out of this? Or is she ****ED?

I think the only thing you can do is call AppleCare/AppleID Support.
Side note: Don't call your mom stupid, clearly sounds like a mistake. My mother is guilty of things like this.
Our mothers are different. My mother is a heroin junkie who abandoned me at birth. I don't think she has the mental capacity when she's always high all the time.
Oh yeah, I supplied her the iPad and iPhone. i'm upset because they probably became useless now, and i paid for those.

Can you just go to http://appleid.apple.com , log in and disable the 2-step? You have a working iPhone and iPad to do this so you should able to perform this method.
I just did this yesterday with my daughters iPhone and it required a text to the number.
You need access to a trusted device or the Recovery Key to log into your Apple ID when two-step is enabled. It sounds like she lost access to her only listed trusted device, which was an old phone number (you can list multiple phone numbers and devices) and lost the Recovery Key.
Apart from that not being at all helpful to the OP - I'd certainly advocate it, when correctly setup it means a thief needs your credentials plus a physical device, given that my AppleID has a credit card associated with it its pretty much a deal-breaker these days IMHO.
But as in the OP's case, it needs managing otherwise you can get into this situation if you lose a trusted device or number and you only have the one...

Yeah, I would've turned on two factor. That is much more simple thank getting a text. Because my mother changed her phone number for some reason.
Its entirely worth it. There are people, even here on MacRumors, that have had their accounts hacked, name changed, email changed, security questions changed and so on. Apple cannot do anything about. All your apps, movies, music and TV shows are tied to your account. That could be hundreds, if not thousands of dollars worth of data. Once they changed all that information you are 100% SOL. You cannot recover the account.
