Pretty sure it's just part of the iTunes store app, so it should work on 4.0 as well.

I don't think it's going to be an OS dependent feature. I haven't heard any of the people testing iOS 4.1 mention anything about Ping. If it was dependent on iOS 4.1 then we would have heard about it prior to today.
It has nothing to do with being dependent on an OS version. It has to do with the fact that Apple doesn't put out updates for their stock apps on the App Store and that feature isn't built into 4.0. There's no way for it to get on your device without you updating, which means going to 4.1.

Then why hasn't anyone who has the 4.1 GM seen ping?

actually the itunes, app store, ibooks .apps run over the cloud so apple can change the app any time they like. for example when 3.0 came out, the app store added the "genius" tab without upgrading to 3.0

that was not a stock iPhone app tho, it was an optional download from iTunes....
Which I think Ping will be, I don't believe it will become a stock app as others have become. iBooks was never made into a stock app. like iTunes and the App Store were, but hell that's just my 2 cents.

It's not.
As noted by others, a lot of the iTunes Store (and App Store) interface is controlled by the store itself.
The functionality is probably in the 4.1 release, but it hasn't yet been activated.
