Either find a retina version of it and put it in Bundles/com.apple.springboard, named SBDockBG@2x, OR put it in the main theme folder, name it Dock.png, and turn summerboard mode ON

What the name/location to handle wallpaper for winterboard ( so summerboard doesn't have to be enabled )?

What do you mean? Just use your regular homescreen wallpaper that you assign through Settings. Themes by themselves don't need Wallpaper.png in the root folder to work, summerboard mode or not. All I'm saying is there's two ways to make Winterboard use a custom dock. Since the one you have seems to be 3G/3GS resolution, using the Summerboard trick will make winterboard scale it up for you and make it the right size.
 
bigrash re Dock I use a transparent Dock and remove DockMask from com.apple.springboard below is the Dock
