To clear a passcode of a locked iDevice, you must have remote access. If the device has been connected to the PC before then you can try i-funbox. But it may complain about being locked. If you can't use i-funbox then just install SSH and SSL. If you don't have them installed, you can simply run redsn0w and install the dev-team's SSH2 bundle.
Once rebooted, you can connect using WinSCP to the phone's IP (if you know it) or run itunnel_mux and then start WinSCP, connect to 127.0.0.1 (if using itunnel) and you will be prompted to accept the certificate. Once accepted you will see the filesystem. Simply BACKUP (to your PC) and delete the following files:
var/keychains/keychain-2.db
private/var/keybags/systembag.kb
Once deleted, reboot the device. It will then boot to Recovery mode. Enter DFU mode and run redsn0w again. Device will then boot with everything the same except passcode is cleared. This method is working on ios 5.1.1.

No, they can't. In order for whoever wants to use this phone again, he/she must restore it with itunes and all of your info will be erased. So, don't worry about it.
